Terms of Service

1. Acceptance of terms
By accessing or using Close Controller (the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including waitlist members, trial users, and paying subscribers.
2. Description of service
Close Controller is a recurring accounting workflow platform that helps accounting teams manage month-end close, audit PBC tracking, and tax workflows. Features include template-based task generation, period rollforward, CSV/XLSX import, and audit trail logging. Certain features (such as task suggestions and the AI assistant) rely on third-party large language models, including Anthropic's Claude, to process your inputs and generate responses.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. You must provide accurate information when creating your account and keep it up to date.
Each workspace represents a single organization. You may invite team members to your workspace. Workspace administrators are responsible for their team members' use of the Service.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to store or transmit malicious code
- Resell or sublicense access to the Service without our written consent
- Impersonate any person or entity or misrepresent your affiliation
- Use AI-powered features (such as task extraction) in a manner inconsistent with normal accounting workflow operations. We may apply reasonable usage limits, throttle requests, or temporarily disable AI features for individual workspaces if usage materially exceeds typical patterns or appears intended to test or stress the system
5. Free trial
We may offer a free trial period. At the end of the trial, continued use of the Service requires a paid subscription. We reserve the right to modify or discontinue trial offers at any time.
6. Payment and billing
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except where required by law. Pricing is per seat as described on the pricing page. We reserve the right to change pricing with 30 days' notice to active subscribers.
If payment fails, we may suspend access to the Service until the outstanding balance is resolved. Payment is processed by Stripe. By providing payment information, you agree to Stripe's terms of service.
7. Your data
You retain ownership of all data you input into the Service. We do not claim any intellectual property rights over your workspace data. You grant us a limited license to store and process your data solely to provide the Service.
You are responsible for ensuring that any data you import or enter complies with applicable laws, including client confidentiality obligations.
8. Availability and uptime
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled or emergency maintenance that temporarily affects availability. We are not liable for any losses resulting from downtime.
9. Termination
You may cancel your account at any time. We may suspend or terminate your account if you violate these terms, fail to pay, or if we discontinue the Service. Upon termination, you may export your data within 30 days. After that period, your data may be permanently deleted.
10. Disclaimers
The Service is provided “as is” without warranties of any kind, express or implied. We do not warrant that the Service will be error-free or that any errors will be corrected. Close Controller is a workflow management tool and does not constitute accounting, tax, legal, or financial advice.
AI-generated outputs (including task suggestions and assistant responses) may be incomplete, inaccurate, or otherwise unreliable. You are responsible for reviewing and verifying any AI output before relying on it for accounting, tax, audit, or other professional decisions.
11. Limitation of liability
To the maximum extent permitted by law, Close Controller and Eventus Advisory Group shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Governing law
These terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Texas.
13. Changes to these terms
We may update these terms from time to time. We will notify active users of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
